DentaVera Technologies LLC

Terms of Service

Effective Date: October 5, 2026

These Terms govern access to dentavera.net, DentaVera Pro, Vera, and related DentaVera software, communications, training, CRM, and support services.

Please read these Terms of Service (the “Terms”) carefully. By accessing or using the Services, creating an account, starting a subscription, requesting a demonstration, or otherwise using DentaVera, you agree to these Terms. If you are using DentaVera on behalf of a dental practice, company, or other organization, you represent that you have authority to bind that organization to these Terms.

1. Who We Are

DentaVera Technologies LLC (“DentaVera,” “we,” “us,” or “our”) provides software and related services designed to help dental teams communicate with patients, visualize treatment possibilities, support case-presentation workflows, manage customer relationships, and access training and support.

The Services may include DentaVera Pro, visual simulation tools, Care Views, the Vera AI assistant, CRM features, email, SMS, voice or video communications, scheduling, training resources, reporting, integrations, and other current or future features offered by DentaVera.

2. Who May Use the Services

The Services are intended primarily for dental practices, dental professionals, their authorized staff, DentaVera customers, prospective customers, and other authorized business users.

  • You must provide accurate account and business information.
  • You are responsible for activity performed through your account and for safeguarding login credentials.
  • Practice administrators are responsible for deciding who may access their organization’s account and for removing access when appropriate.
  • You may not allow unauthorized persons to use the Services.

3. DentaVera Visual Simulations

DentaVera visual simulations are designed to support conversations between dental professionals and patients by helping illustrate what may be possible. They are not clinical predictions.

  • Simulations are illustrative and educational only.
  • They are not diagnoses, treatment plans, prescriptions, clinical recommendations, or guarantees of outcome.
  • Actual results may differ based on anatomy, treatment selection, provider judgment, patient compliance, healing, and other factors.
  • A licensed dental professional remains solely responsible for diagnosis, treatment planning, informed consent, and clinical decisions.

Users must present DentaVera simulations in a manner that does not create a false or misleading impression about expected treatment results.

4. Patient Images, Patient Information, and Practice Responsibility

A dental practice or authorized user may upload images or information to use the Services. The practice is responsible for determining whether it has the rights, permissions, notices, authorizations, and consents required to provide that information to DentaVera.

  • Do not upload information that is unnecessary for the intended DentaVera workflow.
  • Do not upload content that you do not have authority to use.
  • Practices remain responsible for their own medical-record, patient-consent, privacy, and professional obligations.
  • DentaVera should not be treated as a substitute for a practice’s official clinical record system unless DentaVera expressly states otherwise in writing.

5. Privacy and Data Use

Our Privacy Policy explains how DentaVera handles personal information and is incorporated into these Terms by reference.

As between DentaVera and the customer, the customer retains ownership of customer-provided business data, patient images, contact data, and other content submitted to the Services, subject to any rights held by the individuals to whom that information relates.

The customer grants DentaVera a limited right to host, transmit, process, display, transform, and otherwise use such data only as reasonably necessary to provide, secure, support, maintain, and improve the Services, comply with law, and fulfill customer instructions.

DentaVera does not sell patient images, customer contact lists, mobile opt-in information, or practice data to third parties for their own marketing.

6. HIPAA and Health Information

Some customers may use the Services in workflows involving protected health information (“PHI”). Whether HIPAA applies depends on the customer, the data involved, and the particular service configuration.

Where DentaVera acts as a business associate and a Business Associate Agreement (“BAA”) is required, the applicable BAA will govern DentaVera’s handling of PHI and will control in the event of a conflict with these Terms concerning PHI.

A customer’s use of DentaVera does not, by itself, guarantee that the customer’s entire workflow is HIPAA compliant. Customers remain responsible for their own policies, workforce practices, access controls, patient notices, authorizations, and legal obligations.

7. Vera AI Assistant

Vera is DentaVera’s AI-assisted product guide, support assistant, training navigator, CRM assistant, and communications tool. Vera is designed to help users work with DentaVera and related business workflows.

Vera is not a dentist, clinician, diagnostician, treatment planner, lawyer, accountant, financial adviser, or substitute for professional judgment.

  • AI-generated responses may be incomplete, inaccurate, or out of date.
  • Users should review important information before relying on it or acting on it.
  • Clinical, legal, financial, employment, billing, privacy, contracting, and other high-impact decisions should receive appropriate human review.
  • DentaVera may limit or disable Vera functions that create privacy, security, safety, compliance, or operational risk.

Vera may use approved DentaVera information, connected services, and account context to assist authorized users. Availability and capabilities may change over time.

8. CRM, Email, SMS, Voice, Video, and Automated Communications

DentaVera may offer communications and CRM functionality that allows authorized users to manage contacts, schedule meetings, send or receive email and text messages, place or receive calls, manage follow-up, record business context, and perform related workflow actions.

Customers are responsible for ensuring that their use of communications features complies with applicable consent, privacy, advertising, telemarketing, recording, and communications laws.

SMS messaging

DentaVera SMS Customer Care Program. DentaVera Technologies LLC may send text messages to dental professionals, practice staff, customers, and prospective customers who have consented to receive messages. Messages may include demo scheduling and reminders, responses to inquiries, onboarding, account or service updates, training information, customer support, and follow-up related to requested DentaVera services.

Message frequency varies based on your interaction with DentaVera.

Message and data rates may apply.

Consent to receive SMS messages is not a condition of purchasing DentaVera products or services.

For customer care messages, consent may be provided through a compliant web form, by text keyword, or verbally during a phone or in-person conversation. When verbal consent is used, DentaVera asks for an explicit yes before enrollment and sends a confirmation text after consent.

Mobile numbers, SMS opt-in data, and consent records are not sold or shared with third parties for their own marketing purposes.

Wireless carriers are not liable for delayed or undelivered messages.

For information about how DentaVera handles personal information and SMS opt-in data, see our Privacy Policy at https://www.dentavera.net/privacy.

Email and other communications

You may unsubscribe from marketing email using the unsubscribe method provided in the message. We may still send transactional, security, billing, account, legal, or service-related communications when appropriate.

9. Subscriptions, Billing, Credits, and Taxes

Some Services require a paid subscription, usage credits, add-on purchases, or other fees. Pricing, included features, credits, limits, and billing frequency will be displayed at purchase or in an applicable order form.

  • Fees are charged using the payment method associated with the account.
  • Usage credits, promotional credits, and plan allowances may be subject to stated expiration, rollover, or usage rules.
  • Unless otherwise stated, fees are exclusive of applicable taxes.
  • Failure to pay may result in suspension or limitation of paid features.

Any automatic-renewal, cancellation, refund, trial, or promotional terms shown at checkout or in an order form are incorporated into these Terms.

10. Customer Content and Acceptable Use

You may use the Services only for lawful, authorized business purposes. You may not:

  • upload unlawful, infringing, deceptive, malicious, or unauthorized content;
  • use DentaVera to harass, defraud, impersonate, mislead, or unlawfully contact another person;
  • circumvent access controls, security features, usage limits, or account restrictions;
  • introduce malware, probe vulnerabilities, or interfere with the security or operation of the Services;
  • use patient information, precise location data, health information, or other sensitive data for unlawful advertising or targeting;
  • use DentaVera to make misleading claims about treatment, clinical outcomes, provider credentials, insurance, pricing, or guarantees.

11. DentaVera Intellectual Property

DentaVera and its licensors retain all rights in the Services and DentaVera technology, including software, code, designs, interfaces, Care Views, simulation workflows, prompts, prompt libraries, AI configurations, models, algorithms, documentation, training materials, videos, graphics, trademarks, brand elements, CRM logic, automation design, and other proprietary materials.

Except as expressly permitted in writing, you may not:

  • copy, reproduce, modify, distribute, sell, sublicense, or create derivative commercial products from DentaVera technology or proprietary materials;
  • reverse engineer, decompile, disassemble, decode, or attempt to discover source code, model architecture, prompts, algorithms, or non-public system logic;
  • scrape, crawl, bulk-extract, or systematically collect DentaVera content, outputs, documentation, or data;
  • use DentaVera outputs, screenshots, workflows, prompts, or non-public materials to train, benchmark, develop, or improve a competing product or service;
  • resell, white-label, rent, timeshare, or provide unauthorized third-party access to the Services;
  • remove proprietary notices or falsely imply ownership, endorsement, affiliation, or authorization.

12. Feedback

If you voluntarily provide product ideas, feature requests, suggestions, or other feedback, you grant DentaVera permission to use that feedback without restriction or compensation, provided that this does not transfer ownership of your patient data, practice data, or confidential information.

13. Third-Party Services and Integrations

The Services may connect with or rely on third-party products and infrastructure, such as communications, payment, cloud, calendar, email, video, analytics, AI, accounting, or CRM providers. Third-party services are governed by their own terms and privacy practices.

DentaVera is not responsible for a third party’s independent acts, outages, policy changes, data practices, or service availability, except to the extent required by law or expressly agreed in writing.

14. Service Changes, Beta Features, and Availability

DentaVera is an evolving software service. We may add, modify, improve, limit, suspend, or discontinue features. AI and beta features may change more frequently and may contain errors or behave differently as they are improved.

We do not guarantee uninterrupted or error-free availability. Planned maintenance, third-party outages, internet failures, security events, emergencies, or other circumstances may affect access.

15. Security

DentaVera uses reasonable administrative, technical, and organizational safeguards intended to protect the Services and information processed through them. No internet-based service can guarantee absolute security.

Customers are responsible for maintaining appropriate device security, passwords, user access, staff training, and internal controls. You must promptly notify DentaVera if you reasonably believe an account or credential has been compromised.

16. Suspension and Termination

DentaVera may suspend or restrict access when reasonably necessary to address nonpayment, suspected fraud, unlawful activity, security threats, material breach of these Terms, risk to patients or other users, excessive or abusive system use, or legal or regulatory requirements.

Upon termination, rights to use the Services end except for rights that expressly survive. Data access, export, retention, and deletion are subject to the applicable plan, Privacy Policy, BAA, order form, legal requirements, and any documented retention settings.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” DENTAVERA DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR PRODUCE A PARTICULAR BUSINESS OR CLINICAL RESULT.

DENTAVERA DOES NOT WARRANT THAT A VISUAL SIMULATION WILL MATCH A PATIENT’S ACTUAL TREATMENT RESULT OR THAT AI-GENERATED OR AUTOMATED CONTENT WILL ALWAYS BE ACCURATE.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DENTAVERA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COSTS OF SUBSTITUTE SERVICES ARISING FROM OR RELATING TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DENTAVERA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID TO DENTAVERA BY THE CUSTOMER FOR THE APPLICABLE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100), UNLESS A DIFFERENT LIMIT IS REQUIRED BY LAW OR EXPRESSLY AGREED IN A SIGNED ORDER FORM.

19. Indemnification

To the extent permitted by law, a business customer agrees to defend, indemnify, and hold harmless DentaVera and its officers, directors, employees, and agents from third-party claims arising from the customer’s unlawful use of the Services, unauthorized content or data supplied by the customer, violation of patient consent or privacy obligations, or material breach of these Terms.

20. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute that is not subject to a separate written dispute-resolution agreement will be brought in a court of competent jurisdiction in California, unless applicable law requires otherwise.

21. Changes to These Terms

We may update these Terms as our Services, technology, legal requirements, or business practices change. The revised version will be posted with a new effective date. Where required by law, we will provide additional notice of material changes.
